The following are definitions for Defined Terms in the Revolution K12 Software Agreement.
“Affiliate” means any entity which directly or indirectly controls, is controlled by, or is under common control with the subject entity.
“RK12 Software” means Customer’s electronic access through the Internet to the RK12 software services set forth in this Agreement and all order forms executed during the SaaS Term.
“Customer Data” means all data supplied by Customer to RK12 through the RK12 Software service.
“Confidential Information” means all financial, technical, business and other information regarding either party or its products or services and, includes, but is not limited to (a) oral and written information regarding any inventions, software, discoveries, developments, formulas, processes, methods, trade secrets, know-how, databases, or innovations developed by or for the disclosing party, and (b) oral and written information which is used in the disclosing party’s business and is proprietary to, about, or created by the disclosing party, including but not limited to financial information, market information, sales information, customer information, personnel information, and marketing strategies designated as confidential by the disclosing party, and not generally known by those not employed by the disclosing party.
“Intellectual Property” means all patents, copyrights, or trademarks anywhere in the world and applications therefor, trade secrets, subject matter (whether or not protectable by any of the foregoing), know-how, ideas, inventions, discoveries, designs, developments and improvements that RK12 conceives, develops, or reduces to practice, alone or in combination with another.
“Order Form” means one or more order forms to this Agreement as to which RK12 Software may be licensed.
“SaaS Term” means the period during which RK12 Software will be licensed by RK12 to Customer.
“User’s Guide” means RK12’s online user documentation for RK12 Software, as updated by RK12.
